1. Scope and Parties

These Terms & Conditions ("Terms") govern the use of the website www.aliyounessi.com ("Website") and the services provided by:

("OperateU", "we", "us")

By using this Website or engaging our services, you ("Client", "you") agree to be bound by these Terms. If you do not agree, please stop using the Website.

2. Definitions

  • "Services" — the consulting, operations, and AI system-building services provided by OperateU, as described on the Website and agreed upon in individual project proposals.
  • "Website" — www.aliyounessi.com and all content, tools, and functionality available through it.
  • "Content" — all text, graphics, images, audio, video, software, and other material appearing on the Website.
  • "Deliverables" — the systems, documentation, AI agents, and other outputs created during a client engagement.

3. Services

OperateU provides custom operational and AI system-building services for creator-led businesses. The specific scope, timeline, and pricing for each engagement are agreed upon individually in a written project proposal or contract. These Terms apply in addition to any specific engagement agreements.

4. The Freedom Guarantee

If you genuinely engage with our process and by week 6 of your engagement you do not feel a clear drop in day-to-day operational work and space opening up in your calendar, you may claim the Freedom Guarantee. In that case:

  • The project ends early.
  • You receive 50% of your project investment back.
  • You keep all Deliverables completed up to that point.

To claim the Freedom Guarantee, you must notify us in writing by the end of week 6. The guarantee requires genuine engagement, which means: attending scheduled sessions, providing requested access and information, and making reasonable efforts to implement agreed-upon changes with your team. The determination of genuine engagement is made in good faith by both parties.

5. Intellectual Property

Website Content

All Content on the Website is the intellectual property of Ali Younessi (OperateU) or its respective owners and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or commercially use any Website Content without written permission.

Client Deliverables

Upon full payment, ownership of custom Deliverables created for your engagement (systems, documentation, AI agents, playbooks) transfers to you. OperateU retains the right to use anonymized case studies, methodologies, and general frameworks developed during engagements for portfolio, marketing, and future client work. OperateU does not retain ownership of your business data.

Pre-existing IP

Any tools, templates, frameworks, or code that OperateU developed independently before or outside of your engagement remain the property of OperateU. You receive a non-exclusive license to use these as part of your Deliverables.

6. Payment Terms

Payment terms are specified in individual project proposals. Unless otherwise agreed:

  • Pilot projects are paid in full before work begins.
  • Full engagements are billed 50% upfront and 50% at the start of the Build phase.
  • Monthly retainers are invoiced at the beginning of each month and due within 14 days.
  • All prices are in EUR and subject to applicable VAT (USt.).

Late payments may incur interest at the statutory rate under German law (§ 288 BGB).

7. Confidentiality

Both parties agree to keep confidential all non-public business information shared during an engagement. This includes but is not limited to: financial data, operational details, team information, system architecture, and business strategy. This obligation survives the end of the engagement.

8. Data Protection

We process personal data in accordance with our Privacy Policy, the GDPR, and the German BDSG. By engaging our services, you agree to our data handling practices as described in our Privacy Policy.

9. Limitation of Liability

OperateU provides services with professional care and to the best of its ability. However:

  • We do not guarantee specific business outcomes, revenue increases, or cost savings. Results depend on many factors beyond our control.
  • Our liability for damages is limited to the amount paid for the specific engagement giving rise to the claim, except in cases of intent or gross negligence.
  • We are not liable for indirect, consequential, or incidental damages.
  • Nothing in these Terms limits liability for damages arising from injury to life, body, or health, or for intentional misconduct.

10. Availability

The Website is provided "as is" and "as available." We do not guarantee uninterrupted or error-free access. We are not liable for disruptions caused by factors beyond our control, including hosting issues, network failures, or force majeure events.

11. Links to Third-Party Websites

The Website may contain links to external sites. We are not responsible for the content, privacy practices, or availability of third-party websites. Links do not imply endorsement.

12. Termination

Either party may terminate an ongoing retainer engagement with 30 days written notice. Project engagements follow the timeline and terms agreed in the specific project proposal. The Freedom Guarantee (Section 4) provides a separate early termination path.

13. Changes to These Terms

We may update these Terms from time to time. Changes take effect upon publication on the Website. Continued use of the Website after changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be replaced with a valid provision that achieves the original intent as closely as possible.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is München (Munich), Germany, to the extent permitted by law.
